These Terms of Service (individually and together with the Community Guidelines, "Terms" or "Agreement") are between RiceBox Lab, Inc. ("Mouthful," "we," "our," "us") and you, an individual user ("you," "your," "yours"), and govern your use of Mouthful’s website or mobile software applications that have been made available on the Mouthful website or for download (each, an "App," and together, the Apps) and any related websites or other online properties owned or controlled by Mouthful (together with the Apps, the "Service").

1. INTRODUCTION AND OVERVIEW

These Terms constitute a legally binding contract between you and Mouthful. You agree that by registering, accessing or using the Apps or the Service, you are agreeing to enter into a legally binding contract with Mouthful. The Agreement includes these Terms and Mouthful’s Community Guidelines.

Our Privacy Policy describes how we collect, use, share, and store your personal information. If you do not agree to this Agreement or to the use of your personal information in accordance with our Privacy Policy, do not access or otherwise use any portion of the Service.

2. ELIGIBILITY TO USE THE SERVICE

Our Service is intended for general audiences. No one under 13 is allowed to use the Service. To use the Service, you must be at least 13 years of age (or 16 years of age if you reside in the European Economic Area). By using the Service, you represent and warrant that you are eligible to form a binding contract and have not been previously suspended or removed from the Service by Mouthful.

3. CHANGES TO TERMS AND THE SERVICE

We may change these Terms from time to time. We will try to notify you of any material changes either within the App or through email. By continuing to use the Service after the changes become effective, you agree to the revised Terms. We also reserve the right to change, add to, suspend, discontinue, or retire any aspect of the Service at any time without prior notice.

4. SUBSCRIPTIONS AND FEES

Mouthful provides you with access to the Service free of charge, but to enjoy the full benefits and certain features, you must purchase subscription-based access (like Pluto or Mercury membership plans).

• Auto-Renewal: Subscriptions automatically renew for successive periods equal in length to the prior subscription period unless and until you cancel.
• Recurring Charges: You authorize our payment processors to process payments on a recurring cycle. Prices will be displayed at the time of purchase.
• Cancellation: You may cancel your subscription at any time through Patreon, Google Play, Apple App Store, or Discord depending on how you purchased it. Cancellations take effect at the end of the paid billing cycle; no refunds are offered.

5. YOUR ACCOUNT SECURITY

You are fully responsible for all activities that occur through your Account. You agree to notify Mouthful Support via [email protected] if you suspect or know of any unauthorized use of your Account.

6. USER CONTENT LICENSE

"User Content" means any audio, video, text, speech, or comments posted by you to the Service. You retain ownership of your User Content. By posting, you grant Mouthful an unrestricted, assignable, sublicensable, royalty-free, worldwide license to reproduce, distribute, display, perform, and use your User Content for the purpose of operating and promoting the Service.

You represent that you own all rights in your User Content and that posting it does not infringe any third-party copyrights or contract rights. Hateful, abusive, or objectionable content is strictly prohibited.

7. WARRANTY DISCLAIMER AND LIABILITY

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE GREATEST EXTENT PERMITTED BY LAW, MOUTHFUL DISCLAIMS ALL WARRANTIES, TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

MOUTHFUL AND ITS SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA ARISING FROM YOUR USE OF THE SERVICE. MOUTHFUL’S AGGREGATE LIABILITY TO YOU SHALL BE LIMITED TO THE LESSER OF $100 USD OR THE TOTAL FEES PAID BY YOU IN THE LAST 12 MONTHS.

8. GOVERNING LAW AND ARBITRATION

This Agreement is governed by the laws of Ontario, Canada. Any dispute arising out of or in any way related to this Agreement or your use of the Service will be resolved by binding individual arbitration in Toronto, Canada (or virtually) in accordance with the Arbitration Act (Ontario). Both parties waive the right to trial by jury or to participate in class action lawsuits.
